Head of Corporate Legal
You will play a key leadership role in strengthening global corporate infrastructure, managing legal risk, and enabling scalable, compliant growth.
We’re seeking a Head of Corporate Legal to lead corporate governance and entity management across multiple jurisdictions. You will head the corporate secretariat, ensure all entities remain compliant, oversee contract governance, guide employment and labor matters, coordinate litigation and disputes, and support financial audits.
The role partners closely with Legal, HR, Finance/Treasury, Compliance, and Operations.
Your Mission:
Corporate Governance & Board Support
• Lead governance processes for board and committee meetings, including agendas, resolutions, and minutes.
• Manage the corporate calendar (AGMs, filings, renewals) and maintain governance records.
• Enforce governance frameworks and policies (delegations of authority, conflict registers, approvals matrix).
Global Entity Management
• Oversee the full lifecycle of global legal entities: formation, maintenance, restructuring, and dissolution.
• Ensure all statutory records and registers are accurate, compliant, and audit-ready.
• Manage external corporate service providers to optimize cost, service quality, and compliance.
Employment & Labor (with HR)
• Develop and maintain employment documentation, policies, and templates.
• Advise on employment law matters, including hiring, terminations, and restructurings.
• Oversee labor disputes and ensure consistent legal positions across jurisdictions.
Contract Governance
• Own the full contract lifecycle: drafting, negotiation, approvals, execution, and archiving.
• Maintain and evolve contract templates and playbooks for key commercial and corporate agreements.
• Implement and administer a Contract Lifecycle Management (CLM) system to improve efficiency and visibility.
Litigation & Dispute Management
• Oversee all litigation, regulatory inquiries, and pre-litigation matters.
• Manage external counsel, budgets, and dispute strategies.
• Ensure evidence preservation, discovery processes, and proactive dispute resolution.
Compliance & Recordkeeping
• Partner with Compliance on statutory, AML/KYC, and license obligations.
• Maintain a secure and structured corporate data repository and entity management system.
• Enforce document retention, access controls, and audit trail policies.
Financial Audit & Reporting Support
• Act as the main legal contact for financial audits and entity confirmations.
• Provide auditors with governance and legal documentation.
• Align records and intercompany documentation with internal controls and audit standards.
Operational Approvals & Authorizations
• Prepare and manage corporate resolutions and approval packs for major operational initiatives.
• Maintain centralized powers of attorney and signatory registers.
Leadership & Continuous Improvement
• Build, mentor and lead a high-performing corporate legal team.
• Drive automation, standardization, and process improvement across legal operations.
• Manage budgets for corporate services, technology tools, and external advisors.
Your Unique Contribution:
• 8–12+ years of experience in corporate governance or entity management within a multinational or top-tier law firm/CSP.
• Strong background in employment law, litigation coordination, and contract drafting/negotiation.
• Proven track record managing multi-jurisdictional filings and corporate housekeeping.
• Solid understanding of corporate mechanics, compliance, and audit processes.
• Proficient in entity and contract management tools (e.g., Diligent, Ironclad, Agiloft) and collaboration platforms (MS 365, Google Workspace, SharePoint).
• Professional certifications (CGI/ICSA, attorney, or paralegal) are an advantage.
• Detail-driven and deadline-oriented, with strong execution skills.
• Clear and concise communicator, comfortable with executive and board-level materials.
• Skilled in managing external counsel and vendors.
• High integrity, discretion, and sound judgment.
• Process-oriented, with a focus on automation and continuous improvement.
